These Terms and Conditions ("Terms") govern your access to and use of the platform operated by Arenasoftwares (“we”, “our”, or “us”), including all associated mobile apps, web portals, and services provided therein (collectively, the “Platform”).

By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility

You must be:

  • An authorized representative of a registered organization (school, college, university, company)

  • Or an individual (student, parent, employee, driver) onboarded through such an organization

  • At least 18 years old (or using under guardian supervision if a student below 18)

2. Platform Description

Our platform provides:

  • Vehicle and trip management for institutions and companies

  • Apps for transport stakeholders: students, parents, employees, drivers, and admins

  • Live vehicle tracking, booking, scheduling, and route management

  • Emergency features such as SOS

  • Reporting, alerts, and analytics tools

3. User Responsibilities

By using the Platform, you agree to:

  • Provide accurate, complete registration and profile data

  • Use the Platform lawfully and responsibly

  • Not share your login credentials or access unauthorized sections

  • Not disrupt the service, hack, or misuse the system

  • Respect all applicable local and national transport laws

  • Notify us immediately of any unauthorized access or misuse

4. Data Privacy

All data collection and usage are governed by our Privacy Policy. You agree that we may collect and process your information for:

  • Providing core platform services

  • Improving features and troubleshooting

  • Compliance, safety, and audit purposes

5. Service Availability

We strive for 99.9% uptime, but:

  • The Platform may occasionally be unavailable due to maintenance, upgrades, or unforeseen issues.

  • We are not responsible for losses arising due to downtime or technical issues.

6. Fleet and Vendor Management

Organizations are responsible for:

  • Ensuring their onboarded vehicles, drivers, and vendors are compliant with local laws

  • Verifying driver background and vehicle safety compliance

  • Managing vendor payment, communication, and SLAs where applicable

We are not responsible for actions or failures of third-party vendors added by the organization.

7. Booking and Tracking Services

While we provide tools for trip management and real-time tracking:

  • We do not guarantee exact vehicle arrival times or route adherence

  • All ETA and location data depend on third-party GPS integrations

8. Emergency Services

SOS and alert features are provided to support rapid communication in emergencies. However:

  • We are not a replacement for emergency services (e.g., 112/911)

  • We are not liable for response delays or outcomes post-SOS activation

9. Intellectual Property

All content, design, software, and technology on the Platform is our proprietary property.

  • You may not reverse-engineer, duplicate, resell, or misuse the system or its components without written permission.

10. Payments (If Applicable)

If you are using a paid version of the Platform:

  • Payment terms will be governed by a separate agreement or invoice

  • Non-payment may lead to suspension or termination of access

11. Termination

We may suspend or terminate access without notice if:

  • You breach any term herein

  • Your organization account is terminated or inactive

  • We detect misuse or malicious behavior

Users can request deletion of their account via email/App.

12. Limitation of Liability

We are not liable for:

  • Any indirect, incidental, or consequential damages

  • Missed pickups, service outages, inaccurate tracking, or vendor failures

  • Data loss beyond our reasonable control

Maximum liability is limited to the fees paid by your organization in the last 3 months.

13. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or legal fees arising from:

  • Your misuse of the Platform

  • Your violation of any law or third-party right

  • Your organization's failure to manage its users, drivers, or vehicles

14. Amendments

We may update these Terms from time to time. Continued use of the Platform implies acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Hon’ble High Court at Nagpur, Maharashtra, India.
